General Terms and Conditions

1. Definitions

“Company” refers to GRT IT Ltd.
“Client” refers to the individual or organisation receiving services from the Company.
“Services” means the managed IT services and related support provided by the Company as agreed in the scope of work or service agreement.
“Agreement” means these Terms and Conditions, together with any signed service contract or proposal document.

2. Scope of Services

The Company shall provide the Client with managed IT services as defined in the signed proposal or contract. Services may include, but are not limited to:

  • IT support

  • Monitoring and maintenance

  • Network management

  • Data backup and recovery

  • Cybersecurity services

  • Cloud services and consultation

Custom service levels, response times, and deliverables will be detailed in a Service Level Agreement (SLA) if applicable.

3. Fees and Payment

  • Fees for services will be outlined in the Client’s proposal or agreement.

  • Invoices are payable within 30 days of the invoice date, unless otherwise agreed in writing.

  • Late payments may incur interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Term and Termination

  • This Agreement will commence on the start date specified in the signed contract and continue until terminated by either party with 30 days’ written notice, unless a fixed-term period is agreed.

  • The Company reserves the right to suspend or terminate services for:

    • Non-payment

    • Breach of contract

    • Illegal or unethical use of services

5. Client Responsibilities

The Client agrees to:

  • Provide access to systems and personnel as necessary for the Company to perform the services.

  • Maintain valid licensing for all software and hardware used within their IT environment.

  • Inform the Company of any significant changes to systems or usage that may impact service delivery.

6. Service Availability and Limitations

  • The Company will use reasonable efforts to provide continuous service availability, but does not guarantee that services will be uninterrupted or error-free.

  • Any scheduled maintenance or known outages will be communicated in advance where possible.

7. Data Protection and Confidentiality

  • The Company and Client shall comply with the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.

  • Each party shall keep confidential all information disclosed by the other which is marked as confidential or would reasonably be considered confidential.

  • The Company shall not access, use, or disclose the Client’s data except as required to perform the services or by law.

8. Intellectual Property

All intellectual property rights in materials created by the Company during service delivery shall remain the property of the Company unless otherwise agreed in writing. The Client is granted a non-transferable, non-exclusive licence to use such materials during the term of the Agreement.

9. Liability

  • The Company’s liability for any loss or damage arising from this Agreement is limited to the total amount paid by the Client for services in the preceding 12 months.

  • The Company is not liable for:

    • Indirect or consequential losses

    • Loss of profits, data, or business opportunities

    • Issues caused by third-party services, vendors, or force majeure events

10. Force Majeure

The Company shall not be liable for failure to perform its obligations due to events beyond its reasonable control, including natural disasters, war, pandemics, or internet outages.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Amendments

The Company reserves the right to update these Terms and Conditions from time to time. The Client will be notified of any material changes. Continued use of services constitutes acceptance of the revised terms.
